General

1.  The placing of an order gives rise, upon acceptance, to a contract between the purchaser and Employment Law Services Ltd. ('ELS').  Acceptance occurs when the relevant notes or package are sent out by ELS.

2.  Copyright in all materials remains vested in Daniel Barnett, subject to the terms of any licences as may be granted by this agreement.

3.  All reasonable care has been taken to ensure that the contents of the material are accurate and up to date.  However, liability is limited to the return of any fees paid by the purchaser to ELS for the services, licence or goods purchased.

4.  If the purchaser asks to be invoiced prior to payment, payment is due within 28 days of invoice and interest accrues on any unpaid debt at 4% above Barclays Bank plc's base rate.

Analysis Notes

5.  The analysis notes on the new legislation, written by Daniel Barnett of 1 Temple Gardens and Kate Palka of Palka Downton solicitors, contain an explanation of the new law on age discrimination, highlighting the unclear or ambiguous provisions where employees and employers are likely to face problems, and providing extensive comment.  The notes are provided as an Adobe Acrobat file.  The purchaser is permitted to distribute copies within his/her firm or organisation, but may not distribute it outside his/her  firm or organisation.  The .pdf file will contain a line at the top of each page identifying the purchaser so as to reduce improper distribution.

6.  The notes will be updated from time to time, at ELS's discretion, during 2006.  Complimentary copies of the updated notes will be provided to purchasers.

Lecture Package for Solicitors

7.  The lecture package contains lecture notes and powerpoint slides which are suitable for a firm of solicitors to present seminars to its clients on the new age discrimination laws, together with a set of the analysis notes.  The lecture notes are provided as a Word document so that they can be personalised and edited by the purchaser.  The powerpoint slides require Powerpoint 2003 to work properly; they will not display properly on earlier versions of Powerpoint.  A version of the slides which runs on earlier versions of Powerpoint (which contains less animation) is available on request.  

8.  ELS grants the purchaser a licence to use the powerpoint display and lecture notes for promotional purposes, and to make such changes to the notes and slides as the purchaser considers appropriate.  The licence for the powerpoint slides and lecture notes does not extend to re-selling the slides or notes (save insofar as they are included in a normal commercial fee paid for attendance at a seminar) or publishing them in the public domain (for example, as an article in the national press or on a website).

Telephone Seminars

9.  All reasonable effort will be made to ensure the telephone seminars take place on the advertised date and time.  In the event that Daniel Barnett is unavailable to present the telephone seminar, an alternative date/time will be substituted by ELS and purchasers will be given the option of a full refund.

10.  ELS is not liable in the event of a failure of the technology used to provide the telephone seminar (either the telephone conferencing or the video weblink).  If such failure occurs, ELS will repeat the seminar at an alternative date/time; however, no refund will be available.

11.  Purchasers will be provided with access to an audio recording of the seminars after they have taken place.  ELS will not be liable in the event of failure of the recording equipment or the underlying technology.  The recording will be made available in .mp3 format for download from the internet.
